1. About these terms
1.1 These terms and conditions (the “Terms”) apply to your use of the Lyonga website, the merchant dashboard, our application programming interface (the “API”), the sandbox environment and any related services we make available (together, the “Services”).
1.2 By using the Services you agree to these Terms. If you are using the Services on behalf of a business or other organisation, you confirm that you have authority to bind that organisation, and “you” means that organisation.
1.3 If your business has been approved as a merchant, the Merchant Agreement also applies. If there is a conflict between these Terms and the Merchant Agreement, the Merchant Agreement takes priority for the processing of payments.
1.4 Our Privacy Policy and Cookie Policy explain how we handle personal data and use cookies. They do not form part of these Terms, but you should read them.
1.5 If you do not agree to these Terms, do not use the Services.
2. Who we are
2.1 Lyonga is a trading name of Smart Edge Tech Limited, a company registered in Zambia (“Smart Edge Tech Limited”, “we”, “us” or “our”).
- Legal name: Smart Edge Tech Limited, trading as Lyonga
- Company registration number: [TBC]
- Registered address: [Registered address TBC], Lusaka, Zambia
- Telephone: [Phone TBC]
2.2 Smart Edge Tech Limited operates the Lyonga platform in partnership with Lipila, a licensed payment service provider in Zambia. Payment services made available through Lyonga are provided under Lipila's licence.
2.3 You can contact us at hello@lyonga.com.
3. Using the website
3.1 You may use the website to find out about Lyonga, contact us, apply for a merchant account and read our documentation. The information on the website is general information about our Services. It is not financial, legal or tax advice.
3.2 We work to keep the website accurate and up to date, but features, payment methods and availability may change, and some services described on the website may not yet be available or may be available only to approved merchants. Nothing on the website is an offer to provide a particular service until we have agreed it with you in writing.
3.3 We may change, suspend or withdraw any part of the website without notice, for example for maintenance, security or legal reasons.
4. Applications and accounts
4.1 Submitting a merchant application does not create a merchant relationship. We, together with Lipila, decide whether to approve an application after carrying out the verification checks described in the Merchant Agreement and the Privacy Policy. We may decline an application without giving reasons where the law or our risk policies require it.
4.2 The information you give us must be true, complete and kept up to date. Giving false or misleading information may lead to your application being declined or your account being suspended or closed, and we may be required to report it to the relevant authorities.
4.3 You are responsible for keeping your sign-in details, multi-factor authentication devices and API keys secure, and for all activity under your account. Tell us immediately at support@lyonga.com if you believe your account or keys have been compromised.
4.4 You must make sure that only people you have authorised use your account, and that each user has the permissions appropriate to their role.
5. Sandbox and API
5.1 Access to the sandbox and the API is by request and at our discretion. The sandbox is for testing only. It does not move real money, and you must not use real customer payment details in it.
5.2 You must use the API in line with our documentation and any rate limits we set. You must not attempt to gain access to systems or data you are not authorised to access, interfere with the operation of the Services, or use the API to build a service that competes with or resells the Services without our written agreement.
5.3 We may change the API. Where a change is likely to stop a working integration, we will try to give reasonable notice, unless the change is needed urgently for security, legal or regulatory reasons.
6. Acceptable use
6.1 You must not use the Services:
- for any purpose that is unlawful in Zambia or in any other country that applies to you;
- for fraud, money laundering, terrorist financing or to evade sanctions;
- to sell goods or services that are prohibited or restricted under the Merchant Agreement;
- to send or upload malicious code, or to probe, scan or test the vulnerability of our systems;
- to scrape, copy or harvest content or data from the Services by automated means;
- to impersonate any person or organisation, or misrepresent your connection with them; or
- in any way that could damage our reputation, our partners or other users of the Services.
6.2 If you discover a security vulnerability, please report it to support@lyonga.com and do not exploit or disclose it until we have had a reasonable opportunity to fix it.
7. Fees
7.1 Browsing the website is free. Fees for payment services are set out in each merchant's pricing schedule, agreed in writing, and are governed by the Merchant Agreement. Any pricing shown on the website is indicative unless it is confirmed in your pricing schedule.
8. Intellectual property
8.1 We, or our licensors, own all intellectual property rights in the Services, including the website, dashboard, API, documentation, software, the Lyonga name and logo, and all content we publish.
8.2 We give you a limited, non-exclusive, non-transferable and revocable right to use the Services for your own business purposes in line with these Terms. You may copy code samples from our documentation for the purpose of integrating with Lyonga.
8.3 You must not use our name, logo or trademarks without our written permission, except to show customers that you accept payments through Lyonga in a way we have approved in writing.
8.4 If you send us feedback or suggestions, we may use them without any obligation to you.
9. Third-party services and links
9.1 The Services depend on, and may link to, services provided by third parties, including Lipila, payment networks, mobile network operators and banks. We are not responsible for the content of third-party websites, and the availability of a payment method may depend on the third party that provides it.
10. Availability
10.1 We aim to keep the Services available and to fix problems quickly, but we do not promise that they will be uninterrupted or free from errors. Planned maintenance, failures at payment networks or providers, and events outside our reasonable control can affect availability.
10.2 Current system status is published on our status page.
11. Our liability
11.1 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the laws of Zambia, including liability for fraud or for death or personal injury caused by negligence, or any rights you have under the Competition and Consumer Protection Act No. 24 of 2010 that cannot be excluded.
11.2 Subject to clause 11.1, the website and its content are provided “as is”, and we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, arising from your use of the website.
11.3 Our liability in connection with payment services is governed by the Merchant Agreement.
12. Your responsibility to us
12.1 If you are using the Services for business purposes, you agree to compensate us for any loss, cost or claim we suffer as a result of your breach of these Terms or your misuse of the Services, to the extent that the loss was caused by you.
13. Suspension and termination
13.1 We may suspend or end your access to all or part of the Services if you breach these Terms, if we are required to do so by law, a regulator or Lipila, or if we reasonably believe your use presents a security, fraud or compliance risk. Where it is lawful and practical, we will tell you why.
14. Changes to these terms
14.1 We may update these Terms from time to time. We will show the date of the latest version at the top of this page and, where a change is significant, we will take reasonable steps to tell registered users before it takes effect. If you continue to use the Services after a change takes effect, the updated Terms apply.
15. Governing law and disputes
15.1 These Terms are governed by the laws of the Republic of Zambia.
15.2 If you have a complaint, please follow our Complaints Procedure first. If a dispute cannot be resolved that way, the courts of Zambia have exclusive jurisdiction, without affecting any right you may have to refer a complaint to a regulator.
16. General
16.1 If any part of these Terms is found to be unenforceable, the rest of the Terms will continue to apply.
16.2 If we do not enforce a right straight away, we can still enforce it later.
16.3 You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations to another organisation that takes over the Lyonga business, and we will tell you if we do.
16.4 These Terms are written in English. Notices to us should be sent to hello@lyonga.com or to our registered address.
